These terms explain how we work together. Plain English, no legal jargon. The signed project agreement controls if there's any conflict.
1. What We Do
You bring the idea, the brand, and the audience.
I handle design, development, App Store submission, and launch.
Goal: ship a quality app fast, then support it post-launch.
2. How Projects Work
Fixed Quote
Every project gets a fixed quote based on scope. No hourly billing. No surprises.
Payment Structure
- 30% upfront to start
- 70% on launch
Timeline
Most projects ship within 21 days. Scope changes can affect timeline — I'll confirm before proceeding.
Communication
You get full Slack access throughout. Daily progress updates. Direct access to me.
3. What You're Responsible For
- Approving key decisions promptly (delays on your end may affect timeline)
- Providing brand assets, content, and access credentials as needed
- Promoting the app to your audience (if applicable)
- Following platform rules and local laws for your promotions and claims
- Paying invoices on time
4. What I'm Responsible For
- Designing and building the app to agreed specifications
- Submitting to App Store and/or Play Store
- Providing post-launch support (duration specified in your quote)
- Keeping you informed with clear progress updates
- Fixing defects caused by my work within the support window
5. Ownership
You own:
- Your brand (name, logo, content, likeness)
- Your App Store / Play Store listings
- Your customer data and relationships
- The codebase and all IP — transferred to you upon final payment
I retain:
- The right to reference the project as a case study (unless you opt out in writing)
- Any pre-existing tools, libraries, or components I brought to the project (you get a license to use them in your app)
Third-party components:
The app may include open-source or licensed components. Those remain under their original licenses.
6. Post-Launch Support
All projects include a post-launch support window (typically 30 days, specified in your quote).
During this window:
- Bug fixes for issues caused by my work
- Minor adjustments within original scope
- App Store review responses and resubmissions if needed
After the support window:
- Ongoing maintenance available via monthly retainer
- Feature additions scoped and quoted separately
7. Cancellations & Refunds
If you cancel:
- Before work begins: Full refund of any deposit
- After work begins: Deposit is non-refundable. You receive all work completed to date.
If I cancel:
- Full refund of any amounts paid
- You receive all work completed to date
8. Alternative Arrangement: Equity/Revenue Share
For select projects, I'm open to reduced upfront fees in exchange for equity or revenue share.
If we go this route:
- Terms are negotiated individually and documented in the project agreement
- Revenue share applies to net revenue after platform fees, taxes, and agreed costs
- Both parties must approve any sale of the app
- Either party can exit with written notice; jointly owned IP remains jointly owned unless bought out
This is by invitation only and subject to project fit.
9. Liability & Warranties
Software is complex. I'll act professionally and fix defects I cause within the support window.
I don't guarantee:
- Specific revenue, downloads, or business outcomes
- Compatibility with future OS versions beyond the support window
- Third-party service uptime (Apple, Google, payment processors, etc.)
Liability cap:
Neither party is liable for indirect or consequential damages. Total liability is capped at the amount you paid for the project.
10. Confidentiality
We both keep non-public information confidential.
I won't share your business details, analytics, or internal communications without permission.
You won't share my pricing, processes, or internal tools without permission.
Exception: Disclosure required by law.
11. Disputes
Let's try to resolve issues directly first — most things can be sorted with a conversation.
If we can't resolve it informally, we'll use good-faith mediation before any legal action.

12. Changes to These Terms
I may update this page for clarity. Changes that affect project economics or ownership only apply to new projects (not existing agreements).
